By creating an account through the Technology Coalition’s (“Tech Coalition”) Website (“Site”), you (“User” or “You”) hereby agree to the following:
- User agrees to be bound and abide by the Privacy Policy of the Tech Coalition as well as these Terms of Use. These Terms of Use and Privacy Policy may be updated at any time at the sole discretion of the Tech Coalition, and continued use of the Site shall indicate acceptance of all updates and changes.
- User agrees to comply with requests for information and feedback from Tech Coalition, and shall use reasonable efforts to respond to Tech Coalition information requests within three months of such receipt.
- User agrees to: i) provide true, accurate and complete information about yourself as prompted by the registration form; and (ii) maintain and promptly update the registration data to keep it true, accurate, current and complete. You acknowledge and agree the Tech Coalition shall have no liability associated with or arising from your failure to maintain accurate registration data, including but not limited to your failure to receive critical information about the Site or any mobile service or your account. You are responsible for maintaining the confidentiality of your account information, usernames, passwords and IDs that may be required to use the Site from time to time ("Account Information") and for restricting access to your computer or other devices, and you agree that you are responsible for all activity that occurs under or with the use of your Account Information.
- All content included on this Site (“Content”), including, without limitation, text, graphics, images, logos, audio or video clips, digital downloads, data compilations and software, is the property of the Tech Coalition or its content suppliers or licensors and protected by the laws of the United States and other countries and international treaties. The compilation of all Content of this Site is the property of the Tech Coalition and is protected by the laws of the United States and other countries and international treaties. Tech Coalition grants You with a personal, revocable, nonexclusive, nontransferable license to use this Site conditioned on Your continued compliance with these Terms of Use. You may print and download Tech Coalition owned Content on this Site solely for personal and noncommercial internal company use, provided that all hard copies contain all copyright and other applicable notices contained in such materials and information. Any other use of Tech Coalition owned Content or use of third party owned Content without express written permission is strictly prohibited. All trademarks that are not owned by Tech Coalition that appear on this Site are the property of their respective owners, which may or may not be affiliated with or connected to Tech Coalition. You will not use, display or distribute the Tech Coalition’s name, trademark, or logo, nor state or imply that you are a member of or affiliated with Tech Coalition, without separate and specific written authorization.
- In addition to the Content provided through this Site, User may also participate in Mentoring Services provided by the Tech Coalition relating to combating and responding to online child sexual exploitation and abuse (“Mentoring Services”). User understands and agrees that all Content and information and materials provided to User as a result of participation in Mentoring Services is considered the Confidential Information of the Tech Coalition. Such Confidential Information includes information that is confidential, proprietary, or not generally available or known to the public, or that is designated as confidential, or that, given the nature of the information or the circumstances surrounding its disclosure, reasonably should be considered as confidential regardless of the medium in which it is disclosed or if it is explicitly labeled as such.
- User shall only use the Confidential Information as internally necessary to carry out the purposes for which it is disclosed, and shall not directly or indirectly, disclose, furnish, disseminate, or make the Confidential Information available to any third party, except to User’s company employees who need to access the Confidential Information for the internal permitted purposes, and who are apprised of the confidential nature of the Confidential Information.
- THE CONTENT AS WELL AS THE INFORMATION AND MATERIALS PROVIDED TO USER AS A RESULT OF PARTICIPATION IN MENTORING SERVICES (“COLLECTIVELY, “MATERIALS”) ARE PROVIDED "AS IS" AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, TECH COALITION DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. NEITHER TECH COALITION NOR ITS AFFILIATES, OR ITS OR THEIR MEMBERS, OFFICERS, DIRECTORS, EMPLOYEES OR AGENTS WILL BE LIABLE FOR ANY CONSEQUENTIAL, INDIRECT, DIRECT, SPECIAL, INCIDENTAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE MATERIALS OR THE MENTORING SERVICES. NOTHING CONTAINED ON THE MATERIALS DEFINES OR ESTABLISHES A LEGAL OR COMMUNITY STANDARD, NOR IS IT INTENDED TO CREATE A PRESUMPTION OF A BREACH OF A LEGAL DUTY OR FORM THE BASIS FOR CIVIL LIABILITY. ALL MATERIALS ARE PROVIDED BY TECH COALITION FOR INFORMATIONAL PURPOSES ONLY. ANY INACCURACY OR OMISSION IS NOT THE RESPONSIBILITY OF TECH COALITION. DETERMINATION OF WHETHER AND/OR HOW TO USE ALL OR ANY PORTION OF THE MATERIALS IS TO BE MADE IN YOUR SOLE AND ABSOLUTE DISCRETION. PRIOR TO USING THE MATERIALS, YOU SHOULD REVIEW THEM WITH YOUR OWN LEGAL COUNSEL. NO PART OF THE MATERIALS CONSTITUTES LEGAL ADVICE. USE OF THE MATERIALS IS VOLUNTARY. TECH COALITION DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE MATERIALS OR ON ANY TECH COALITION SITE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY TECH COALITION SITE OR THE SERVERS THAT MAKE SUCH MATERIALS AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. TECH COALITION DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE MATERIALS IN TERMS OF THEIR CORRECTNESS, ACCURACY, RELIABILITY OR OTHERWISE. APPLICABLE LAW MAY NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.
- If any part of any provision of these Terms of Use shall be invalid or unenforceable under applicable law, said part shall be ineffective to the extent of such invalidity or unenforceability only, without in any way affecting the remaining parts of said provision or the remaining provisions of these Terms of Use.
- These Terms of Use will be governed and construed in accordance with the laws of the District of Columbia, without giving effect to any principles of conflicts of law. The exclusive venue for any dispute, claim or proceeding based on or arising out of these Terms of Use will be in the local or federal courts located in the District of Columbia, and you hereby consent and submit to the venue and personal jurisdiction of such courts for the purposes of such action. EACH PARTY HERETO HEREBY WAIVES, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY RIGHT IT MAY HAVE TO A TRIAL BY JURY IN ANY LEGAL PROCEEDING DIRECTLY OR INDIRECTLY ARISING OUT OF OR RELATING TO THESE TERMS OF USE (WHETHER BASED ON CONTRACT, TORT OR ANY OTHER THEORY).
